Software End User License Agreement

GENERAL
This End User License Agreement (the
“EULA”) forms a legally binding agreement between you (the “User” or “you”) and us (“Company”,
“we”, “us”, or “our”). It sets out the terms governing your access to, installation of, and use
of Relay Convert, our software that includes, among other things, document processing services,
including, but not limited to, converting documents that the User uploads into editable formats
of different kinds, and related services (“Software”).
ACCEPTANCE OF
EULA
By downloading, accessing, or using the Software, you acknowledge that
you have read and understood this EULA and represent and warrant that you will use the Software
in compliance with all applicable laws and regulations. If you do not agree to any part of this
EULA, you must immediately stop using the Software and remove it from all devices on which it has
been installed or used. The Company may modify, update, or revise this EULA from time to time.
Any such changes shall be effective upon publication. Continued use of the Software after
publication constitutes your acceptance of the updated EULA. The most current version of this
EULA will be available on our Website, which is available here, and
the “Last Updated” date at the top of this EULA indicates when it was most recently
updated.
We respect your privacy rights. When you access or use the Software, we may
collect, store, and use certain information about you and your use of the Software, all as
further detailed in the Privacy Policy (“Privacy Policy”). We will
process Personal Data in accordance with the Privacy Policy, as
updated from time to time.
Software
Services
The Software enables you to convert files from one format to another.
You are solely responsible for ensuring that you have the rights to use any files submitted for
conversion. Your use of the Software is for your own personal, non-commercial use. We do not keep,
host, or store your files or any converted files created through the Software. You are responsible
for downloading and saving them, and we are not responsible for any loss of data or
files.
Subject to the terms herein, the Company grants you a revocable, limited,
non-exclusive, non-transferable, non-assignable, and non-sublicensable license, for
non-commercial purposes, to install and use the Software and its related services solely for the
purposes set forth herein and for personal use only. You hereby provide us with the limited right
to process the files you upload solely for the purpose of performing the file conversion service
you requested.
The Company, at its sole discretion, is entitled to determine the features,
settings, pricing, or other tools that are available as part of the Software, and may modify,
correct, amend, update, upgrade, enhance, improve, remove, replace, or otherwise change, or
discontinue or cease (temporarily or permanently), any features or functionalities of the
Software, with or without notice, without incurring any liability to you.
Certain features
of the Software may be contingent upon the availability and continuity of your internet
connection. Lack of connectivity or disruptions to connectivity may prevent you from accessing or
using the Software, or certain features thereof.
All rights not expressly granted to you
under this EULA are reserved by the Company and/or its licensors. The Software is proprietary.
Title to the Software is held by the Company and/or the Company's licensors. This EULA governs the
Software in full, including all features, modules, functions, components, and services provided
through it. All intellectual property rights in the Software and related materials, including,
without limitation, trademarks, logos, designs, text, graphics, source code, and proprietary
technologies, are owned by the Company or its licensors. Nothing in this EULA transfers to you
any ownership interest in the Software or any intellectual property rights.
THIRD-PARTY
CONTENT
The Software may display, include, or provide access to third-party
content, services, and links to third-party websites. Such third-party content or services are
not owned or controlled by the Company, and the Company is not responsible for their availability,
accuracy, legality, or reliability.
Any access to, use of, or interaction with third-party
content or services is at your own discretion and risk and may be subject to the relevant
third party’s own terms, conditions, and policies.
USER
RESPONSIBILITIES
You represent and warrant that: (a) you are solely responsible
for any content you upload, submit, or otherwise make available through the Software; and (b) you
have obtained all necessary rights, consents, and approvals to provide such content and to allow
its processing through the Software, and that such content and its use through the Software do
not infringe, misappropriate, or otherwise violate any third-party rights and comply with
applicable law.
You further represent and warrant that you are authorized to use the device
through which you access and use the Software, that you are legally eligible to enter into this
EULA, and that you are not prohibited from doing so by any applicable law, regulation, court
order, or other binding restriction.
You will access and use the Software only in accordance
with this EULA and any instructions provided by the Company from time to time.
When using
the Software, you agree that you must not do any of the following:
Copy, reproduce,
distribute, sublicense, sell, lease, commercially exploit, or otherwise redistribute any part of
the Software.
Modify, decompile, reverse engineer, disassemble, or otherwise attempt to
derive the Software's source code.
Bypass or attempt to bypass any technical safeguards,
access controls, or security mechanisms.
Use the Software in connection with deceptive,
fraudulent, malicious, or otherwise harmful activity.
Use the Software for any unlawful,
fraudulent, deceptive, or harmful purpose.
Violate this EULA or any applicable law or
regulation.
Any breach of the above restrictions may result in immediate suspension or
termination of your access to the Software and may also expose you to legal liability.
INDEMNIFICATION
You
agree to indemnify, defend, and hold harmless the Company and its affiliates, and each of their
respective directors, officers, employees, agents, and representatives, from and against any and
all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees)
arising out of or relating to: (i) your use of the Software; (ii) your breach of this EULA; or
(iii) your violation of any third-party rights, or any applicable law or regulation.
DISCLAIMER
OF WARRANTIES AND LIMITATION OF LIABILITY
The Software is provided on an “as is”
and “as available” basis, without warranties of any kind, whether express, implied, or statutory,
including any implied warranties of merchantability, fitness for a particular purpose,
non-infringement, and title. Without limiting the foregoing, the Company does not warrant that the
Software will be uninterrupted, error-free, free of harmful or malicious code, compatible with all
devices or configurations, available at any particular time or location, or capable of meeting
your specific requirements.
You assume and accept all risks arising from or related to
installing and using the Software.
To the fullest extent permitted by law, the Company shall
not be liable for any indirect, incidental, special, or consequential damages arising out of or
relating to your use of, or inability to use, the Software.
In all cases, the Company's
total aggregate liability shall not exceed the lesser of: (i) USD $10; and (ii) the amount
actually paid by you for the Software.
The Software is not intended to operate as a data
storage, hosting, backup, or archiving service. You acknowledge and agree that you are solely
responsible for maintaining, downloading, saving, and backing up your files and any converted
output.
FORCE MAJEURE
The Company shall not be liable for any
delay or failure to perform its obligations under this EULA to the extent caused by events beyond
its reasonable control, including, without limitation, acts of God, natural disasters, governmental
actions, war, terrorism, labor disputes, technical failures, power outages, or interruptions in
telecommunications or internet services.
UPDATES AND CHANGES
The
Company may, in its sole discretion, deploy updates, patches, enhancements, or other
modifications to the Software to improve functionality, performance, monetization, or security.
By continuing to use the Software, you consent to receive such updates.
The Company shall
not be responsible for any temporary interruptions, compatibility issues, or other changes
resulting from updates or modifications.
TERMINATION
This EULA
remains in effect unless and until terminated. You may terminate this EULA at any time by
uninstalling the Software and discontinuing all use.
The User may remove the Software at any
time by using the standard uninstall or removal tools available on the User's device. In most
instances, uninstallation can be completed through the operating system’s application or program
management settings. Generally, the User may uninstall the Software by taking the following
steps:
Open the User's device’s Control Panel or system settings.
Navigate to the
section for installed programs or applications (such as “Programs” or “Programs and
Features”).
Locate the Software in the list of installed applications.
Select the
Software and choose the option to uninstall or remove it.
The Company may, at any time,
immediately suspend or terminate your access to or use of the Software, with or without notice,
if you breach this EULA or if your continued use may create risk to the Company or any third
party.
Upon termination, all licenses and other rights granted to you under this EULA will
immediately cease, and you must discontinue all use of the Software. The Company shall not be
liable to you or any third party in connection with any suspension or termination under this
Section. Any provisions that by their nature should survive termination shall survive.
MISCELLANEOUS
If
any provision of this EULA is held to be invalid or unenforceable, such invalidity or
unenforceability shall not affect the remaining provisions, which shall remain in full force and
effect. Failure by the Company to enforce any provision shall not constitute a waiver of its
rights or of subsequent enforcement of such rights. You may not assign or transfer any of your
rights or obligations under this EULA without the prior written consent of the Company.
The
Company may assign or transfer this EULA, in whole or in part, freely and without restriction.
GOVERNING
LAW AND DISPUTE RESOLUTION
This EULA shall be governed by and construed in
accordance with the laws of the State of Israel. Any dispute arising out of or relating to this
EULA shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv,
Israel.
Any claim must be filed within twelve (12) months from the date it arises;
otherwise, it shall be permanently barred.
